SaaS Subscription Agreement

Terms of Service

The binding legal agreement governing the use of distyX software, mobile applications, and cloud services.

1. Acceptance of Terms

By creating a distyX account, subscribing to a fleet plan, downloading the mobile field app, or accessing the web admin portal, you agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between your organization ("Tenant") and B2B Enterprises (KMK Junction, Aquarius Edificio Building, Republic Road, North Paravur, Kochi, Kerala 683513, India).

2. SaaS Services & Account Provisioning

distyX provides a cloud-based Van Sales and Direct Store Delivery management system comprising:

  • Web Admin Portal for inventory, route management, tax settings, and reports.
  • Mobile Field Application for Android handheld terminals and sales reps.
  • REST APIs for ERP/accounting integration.

Tenants are responsible for maintaining confidentiality of admin credentials, Tenant Access Codes, and staff account permissions.

3. Subscription & Payment Terms

  • Billing Frequency: Subscriptions are billed monthly or annually per active van license or user seat.
  • Taxes: All quoted prices are exclusive of statutory GST / VAT unless explicitly stated otherwise.
  • Grace Period & Suspension: Invoices overdue by more than 15 days may result in account restriction or temporary mobile sync pause until payment is settled.

4. Acceptable Use & Conduct

Tenants and field users shall not:

  • Decompile, reverse engineer, or attempt to extract source code from distyX web or mobile applications.
  • Use distyX to issue fraudulent invoices or intentionally bypass applicable tax/GST rules.
  • Automate unauthorized web scraping or overload cloud endpoints.

5. Intellectual Property Rights

B2B Enterprises retains all right, title, and interest in distyX, including software code, UI design, trademarks, and algorithms. Tenants retain exclusive ownership of all commercial business data, customer registers, and transaction logs stored in their isolated workspace.

6. Limitation of Liability

To the fullest extent permitted by Indian law, B2B Enterprises' maximum total liability for any claims arising from distyX shall not exceed the subscription fees paid by the tenant in the three (3) months preceding the incident. B2B Enterprises is not liable for indirect or consequential damages such as lost profits or stock spoilage.

7. Governing Law & Jurisdiction

These Terms of Service are governed by the laws of India. Any legal actions or disputes shall be subject to the exclusive jurisdiction of the courts located in Kochi, Kerala, India.
